SNVA Traveltech, which operates the online travel platform Travomint, has filed its Updated Draft Red Herring Prospectus-I (UDRHP-I) with the Securities and Exchange Board of India (Sebi) for its proposed initial public offering (IPO).
The proposed public issue comprises entirely of an offer for sale (OFS) of up to 127,525,000 equity shares with a face value of Rs 1 each by the company's promoters, Alok Kumar Singh and Vivek Kumar Singh. The IPO will not include a fresh issue of equity shares.
Since the issue is entirely an offer for sale, the company will not receive any proceeds from the public offering. The proceeds, net of offer-related expenses to be borne by the selling shareholders, will be distributed among them in proportion to the shares sold by each.
“Our Company will not receive any portion of the Offer Proceeds and all such Offer Proceeds (net of any Offer related expenses to be borne by the Selling Shareholders) will go to the Selling Shareholders, in proportion to the Offered Shares sold by the respective Selling Shareholder as part of the Offer,” said the company in its UDRHP.
